1. Conclusion of contract
Deliveries will be made by the Neresheim charity to customers in accordance with the following terms and conditions. These also apply to all future business relationships, even if not expressly agreed. Modifications are only effective if agreed in writing. These terms of business override any terms proposed by the customer. Our offers are subject to change and non-binding. We are bound only by our confirmation of order.

2. Prices
All prices quoted are in euros and include VAT. Prices are ex works and exclude postage and packaging costs. Any possible transport insurance required is not included.

3. Terms of payment
Payment must be made within 30 days of the invoice date, due net, unless stated otherwise. If the payment deadline is exceeded, we reserve the right to request the payment of interest on this delay in addition to any collection costs.
Discounts are only permitted when expressly agreed with us and payment of the invoice total is received on time and in full and only if the customer is not behind in settling other debts.
Offsetting against counterclaims on the part of the customer is not permitted, only to the extent that these counterclaims are undisputed and are not legally established. In the case of business processed in several partial deliveries, each individual partial delivery is classed as one business agreement when it comes to the payment deadlines.

4. Delivery times
Delivery will be made in accordance with the agreed delivery deadlines.
Delivery times refer to the time of dispatch from the workshop or warehouse. We are not legally bound to meet the specified delivery time if the customer/recipient does not meet his or her obligations in time, for example in the case of delayed or inadequate provision of funds.
If we are unable to deliver on time due to interruptions to operations caused by our subcontractors, strikes, acts of God, etc, the delivery time will be extended accordingly.
If we are behind with the delivery, we are entitled to set an appropriate subsequent delivery deadline.

5. Postage
Postage is at the recipient's own risk and expense. If delivery is made by a shipping contractor, the risk is the responsibility of the client. Any evident damage present upon delivery must communicated to the transporting company immediately. Damage not evident upon delivery must be communicated to the transporting company in writing or by telephone without delay.

6. Guarantee
The customer/recipient must check the goods immediately upon receipt and inform us in writing of any possible defects or deficiencies (§§ 377, 378 commercial code). This duty of inspection, notification, and rejection must be exercised within five working days of receipt of the goods by the customer/recipient. Working days are classed as Monday to Friday. We will then check any reported defects or deficiencies. If the warranty claim is not successful, no changes can be made to faulty goods without our consent.
In the case of evident material defects or poor workmanship, we may correct or replace any defective products as we see fit. Ongoing claims are then excluded.

7. Reservation of proprietary rights
The delivered goods remain our property until full payment has been received.

8. Place of delivery and jurisdiction
The place of delivery and jurisdiction is the Samariterstiftung registered office in Nürtingen or else the court responsible for the Samariterstiftung registered office in Nürtingen.

9. Miscellaneous
We are a recognised workshop for disabled people in accordance with § 142 SGB IX of the Social Code IX (SGB IX). In as much as clients are obliged to pay a quota compensation levy for the disabled in accordance with § 77 SGB IX, they can set off 50% payable for the performance of the disabled person against the total amount payable by the employer under this law (§ 140 SGB IX).
